He systematically sorted out the evolution of the adjudication of the validity of the company's external guarantees, from the dispute over effectiveness and administrative regulations to the restriction of representation rights established in the "Nine People's Minutes". It was clarified that the effectiveness of the legal representative's ultra vires guarantee is based on the goodwill of the creditor as the core judgment criterion. At the same time, it focuses on interpretation of practical difficulties such as the guarantee resolution procedure, creditors' reasonable review obligations, exceptions without resolution, special rules for listed companies, and one-person companies guaranteeing shareholders. It also analyzes the division of liability for invalid guarantees and cross-criminal and civil risks based on typical cases, providing practical guidance for lawyers in handling guarantee disputes and conducting compliance reviews.
